How to Start an Oklahoma LLC: Form 0073, Steps and Fees

Here is the short version: you file Articles of Organization with the Oklahoma Secretary of State, pay $100, and your LLC exists. The filing authority is 18 O.S. § 2004, the fee comes from 18 O.S. § 2055, and the state gives you a choice of route: paper on SOS Form 0073, or the online entity filing system at sos.ok.gov. Know the Paperwork Before You Start

Oklahoma is a form-numbered state, which makes life easier once you know the numbers. The Articles of Organization are SOS Form 0073, and the Secretary of State distributes that form inside the Form 0074 packet, "Procedures for Organizing an Oklahoma Limited Liability Company", downloadable at sos.ok.gov/forms/FM0074.PDF. The packet is worth skimming even if you file online, because it quotes the statutes your LLC will live under.

Step by Step

  1. Clear your name. Oklahoma requires "limited liability company", "limited company", or an abbreviation such as "LLC" or "LC" in the name, and the name must be distinguishable from existing entities on the Secretary of State's records. Search the state's entity database first; a rejected filing costs you time even when the fee is refundable frustration.
  2. Line up a registered agent. Under 18 O.S. § 2010, the agent can be the LLC itself, an individual Oklahoma resident, or a domestic or qualified foreign corporation, LLC, or limited partnership. Whoever takes the role must keep a business office identical with the registered office, open during regular business hours to accept service of process, at a street address.   3. File the Articles of Organization and pay $100. Online through the entity filing system, or on paper with Form 0073. Either way the content is the same: name, principal place of business, registered agent and office, and the signature of at least one person authorized to file. The $100 fee is fixed by 18 O.S. § 2055.
  4. Put an operating agreement in writing. The state never collects it, but it is the document that says who owns what, who decides what, and what happens when someone wants out. Banks ask for it. Without one, Title 18's default rules make those calls for you.
  5. Grab your EIN. Free from IRS.gov, usually instant, and required for a business bank account or payroll. Skip any site that charges for it.
  6. Calendar your annual certificate. Every year, on the anniversary of your Articles filing, a $25 Annual Certificate is due under 18 O.S. § 2055.2. The window opens 60 days before the anniversary, and the SOS emails a reminder to the last email address it has for the LLC, so keep that address current.
